Biography
Jon is a business/corporate attorney with the firm based in the Albany, New York office. He helps companies, large and small, navigate complex legal issues. His practice focuses primarily on business/commercial transactions, with additional focus in the areas of real estate, data security and data privacy. With over 20 years’ experience, both in-house and in private practice, he has represented clients in a diverse range of industries, including financial services, real estate, construction, technology, renewable energy, and sports. He has particular interest in assisting clients in transaction structuring and assessment of appropriate risk-mitigation strategies.
In his free time, Jon can be found in the great outdoors. He has finished four (4) Ironman triathlons.

Representative Matters
Represented developer/landlord in bank financing transactions of several commercial properties in Capital Region, New York.
Represented minority member of limited liability company (hotel holding group) in enforcing member rights under operating agreement and in restructuring member’s loan/promissory note to the company.
Represented MWBE certified engineering firm in Capital Region, New York in admission of new members through membership interest purchase agreement and in on-going MWBE compliance matters, including drafting of company operating agreement.
Represented seller of dental practice in sale of company and company real estate.
Drafted and negotiated numerous operating agreements and vendor contracts.
Represented real estate development company on entity formation matters, including choice of form of entity and company documents/resolutions.
Developed multiple compliance policies and procedures for SEC registered investment adviser, including with respect to best execution and proxy voting guidelines.
Developed data privacy policies for multiple companies, including compliance policy obligations under recent New York Stop Hacks and Improve Electronic Data Security Act (SHIELD Act).
Community
Jon is a committed advocate to the less fortunate, providing regular pro bono legal advice to Capital Region clients under the Legal Aid Society of Northeastern New York‘s (LASNNY) Private Attorney Involvement (PAI) program. Jon has volunteered with PAI for over 10 years. Born and raised in Albany, he moved back to his hometown after spending the early days of his legal career in New York. He was influenced greatly by the pro bono endeavors of Rogers & Wells (now Clifford Chance), the NYC law firm where he began his career. He has assisted LASNNY clients on a variety of cases, including estate planning, landlord/tenant matters, legal name changes (most notably for the transgender community) and unemployment insurance. Jon is also currently vice chair of the Albany Chapter of the Adirondack Mountain Club. Jon is an Adirondack 46er.
